Becoming a HELM User
The HELM Workbooks are available in PDF format only to bona fide Educational Institutions (‘EI’) worldwide. The EI must e-mail a request to HELM administered by the Mathematics Education Centre at Loughborough University in the UK to obtain a passcode to download the Workbooks following confirmation that the EI accepts the Terms and Conditions in the Licence Agreement below.
The HELM Consortium End User Licence Agreement for the HELM Workbooks.
The HELM (Helping Engineers Learn Mathematics) consortium comprises Loughborough University, the University of Hull, the University of Reading, the University of Sunderland and the University of Manchester in the UK (‘HELM Consortium’).
BY DOWNLOADING AND SUBSEQUENTLY CONTINUING TO USE THE HELM WORKBOOKS COMPRISING 50 MATHEMATICS WORKBOOKS INCORPORATING ENGINEERING EXERCISES AND CASE STUDIES SUPPLIED IN PDF FORMAT (‘Workbooks’), YOU ACCEPT AND AGREE TO ALL THE TERMS AND CONDITIONS CONTAINED WITHIN THIS LICENCE AGREEMENT (‘Agreement’).
The HELM Consortium grants to you under this Agreement a non-exclusive licence to use the Workbooks provided that you agree to the following provisions:
|1.||Use of the workbooks|
|1.1||The Workbooks can be used by the EI free of charge for the educational benefit of the students registered to the EI.|
The Workbooks can be used by the EI for research and development free of charge but not for commercial purposes. In the event of publication, the HELM Consortium’s involvement in the research and development of the Workbooks must be acknowledged by the EI using the following statement “The original content of the HELM Workbooks was produced and developed by the HELM Consortium”.
Individual employees and students of the EI referred to in 1.1 and 1.2 may use the Workbooks and then only for the purposes and under the conditions stated in 1.1 and 1.2.
|1.4||The Workbooks may only be copied and distributed within the EI for the purpose referred in 1.1 and 1.2.|
The Workbooks may not be used for any commercial enterprise and/or by commercial companies (‘CC’) without the prior knowledge and approval of the HELM Consortium and at commercial terms to be agreed.
|2.||Copyright, Intellectual Property and Trade Marks|
|2.1||The copyright in the Workbooks is owned jointly by the HELM Consortium and is protected by English Copyright Law and International Treaty Provisions. This Agreement does and/or the EI any intellectual property rights in the Workbooks, except as specified in 1. above.|
|2.2||HELM and the HELM Logo are trademarks and cannot be used without permission of the HELM Consortium.|
Except as otherwise permitted in this Agreement, you agree NOT to, or allow or cause any other person to:
give, lease, assign, license, sub-license, transfer, distribute, disclose, disseminate, or publish the Workbooks in any form to any other person, EI and/or CC or attempt to do any of these acts without the written authority of the HELM Consortium;
|3.1.2||alter, change, remove or obscure any notices or other indication (including copyright notices) as to ownership of the Workbooks;|
|3.1.3||use the Workbooks for any commercial purpose without the prior knowledge, and explicit approval in writing (to include agreed commercial terms), of an authorised officer of the HELM Consortium as identified in 5.3.|
|4.||No Warranty and Liability.|
|4.1||The Workbooks are delivered to you AS IS and the HELM Consortium makes no warranty as to their use and/or functionality.|
|4.2||The HELM Consortium and its representatives DO NOT AND CANNOT WARRANT the performance or results you may obtain by using the Workbooks and make no warranties, express or implied, as to non-infringement of third party rights, merchantability, or fitness for any particular purpose. As the Workbooks are being supplied free of charge and for the furtherance of education, in NO EVENT will the HELM Consortium, each institutional member of the HELM Consortium and/or its representatives and/or their respective officers, employees or agents be liable for any type of loss or damage whatsoever (arising in any way from this Agreement or its subject matter) including direct, consequential, incidental or special damages, including any lost profits or lost savings, even if a HELM Consortium representative has been advised of the possibility of such damages, or for any claim by any third party.|
|4.3||Nothing in this Agreement limits or excludes (or is intended to limit or exclude) liability for:|
|4.3.1||death or personal injury;|
|4.3.2||fraud or fraudulent misrepresentation;|
|4.3.3||breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982; or|
|4.3.4||any other liability which cannot be limited or excluded by applicable law|
|5.||Governing Law and General Provisions.|
|5.1||This Agreement will be governed by English Law and the Parties agree to submit to the jurisdiction of the English Courts. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If any part of this Agreement is found to be void or unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. You agree that the Workbooks will not be transferred or exported into any country or used in any manner prohibited by any export laws, restrictions or regulations.|
|5.2||Your rights under this Agreement shall terminate immediately and without prior notice if you fail to comply with any of its terms and conditions.|
This Agreement may only be modified by an authorised officer of the HELM Consortium, which includes but is not limited to, the Head of the Mathematics Education Centre at Loughborough University.
BY COMPLETING THE FORM BELOW AND TICKING THE CHECKBOX BELOW TO REQUEST A CODE TO DOWNLOAD THE WORKBOOKS YOU WILL BE DEEMED TO HAVE ACCEPTED ALL OF THE TERMS AND CONDITIONS IN THE LICENCE AGREEMENT.
